CPU/Mobo Should i upgrade?

Current config

Cpu: Intel C2D E7400@2.8 ghz
Motherboard:Gigabyte GA-P35-S3G
Ram:Kingston 4gb(2*2) DDR2 @800 mhz

graphic card: palit Gtx460 sonic 1gb ddr5
Psu: Corsair 550 vx

Game at :1920*1080

Changing only cpu,motherboard,ram.

Cpu: Intel sandy bridge i5 2400@3.1 ghz (9.4k)
Motherboard: Gigabyte H61M-D2-B3 Micro-Atx(3.5k) looking for cheap motherboard.No overclocking.
Ram:Corsair 4gb ddr3 @1333mhz (1.9k)

The dealer is offering me 4.5k for my old cpu,motherboard,ram and an old nvidia 8600gt graphic card.

So the net spending comes out to 10.3k.
Should i go ahead and upgrade.The cpu(weak) is the main problem.
My old system is just 2 years old.Waiting for Battlefield 3.

Yes you can upgrade to sandy bridge, get a good 1600mhz ram instead of 1333mhz... And 4.5K for the stuff you have mentioned is on the lower side IMO... Try TE members market for selling those...
